At 10:36 a.m. - That the Board of Management of the Toronto Zoo recess its public session to meet in closed session to consider the item as it pertains to information on a negotiation with a community partner regarding a potential development opportunity at the Toronto Zoo. Release of the terms and any direction from the Board of Management of the Toronto Zoo related to the terms may affect ongoing negotiations to finalize the arrangement and any required agreement(s).

That the Board of Management of Toronto Zoo direct that:

1. Recommendations 1 and 2 be deleted.

Recommendations to be deleted:

1. The Board of Management endorse in principle the repurposing of the southeast portion of Parking Lot 1 for a potential development opportunity as described in Confidential Attachment 1, subject to completion of relevant planning reviews, impact studies, and engagement with the City of Toronto as outlined in Recommendation 2;

2. The Board of Management direct Toronto Zoo staff to work through City of Toronto Corporate Real Estate Management, and in collaboration with CreateTO, and other relevant parties, to advance discussions and negotiations with a community partner on a potential development opportunity as described in Confidential Attachment 1;

2. Recommendation 3 be amended by adding the words: "in the first quarter of 2027", before "on the status", so it reads as follows:

"Direct Zoo staff to report back to the Board in the first quarter of 2027 on the status of discussions prior to the execution of any agreement(s) related to the development opportunity described in Confidential Attachment 1."

3. Recommendation 4 be amended by adding the words: "as amended in closed session", at the end of Recommendation 4, so it reads as follows:

"Approve the confidential instructions to staff in Confidential Attachment 1, as amended in closed session."
