Board Decision
The Board of Directors of CreateTO:
1. Authorized any two officers of CreateTO to execute a Master Services Agreement between CreateTO and the City of Toronto, substantially on the terms outlined in Confidential Attachment 1 to the report (June 6, 2025) from the Chief Executive Officer, CreateTO, and in a form satisfactory to the Chief Legal Counsel, CreateTO.
2. Directed the Chief Executive Officer, CreateTO to negotiate and settle all required schedules to the Master Services Agreement, in forms satisfactory to the Chief Legal Counsel, CreateTO.
3. Authorized any two officers of CreateTO to execute any amendments to the Master Services Agreement between CreateTO and the City of Toronto as may be required to incorporate the required schedules, in forms satisfactory to the Chief Legal Counsel, CreateTO.
4. Authorized any two officers of CreateTO to execute any project addenda ("Project Addenda") required in relation to any housing development projects assigned by the City of Toronto to CreateTO pursuant to the Master Services Agreement, in forms satisfactory to the Chief Legal Counsel, CreateTO.
5. Directed the Chief Executive Officer, CreateTO to take all such actions as may be necessary to carry out CreateTO's obligations pursuant to the Master Services Agreement and all related Project Addenda.
6. Directed that Confidential Attachment 1 and Confidential Presentation to the report (June 6, 2025) from the Chief Executive Officer, CreateTO, remain confidential in their entirety, as they contain advice which is subject to solicitor-client privilege.

Summary
This report provides information about the development of a Master Services Agreement ("MSA") between CreateTO and the City of Toronto (City), details key components of the MSA, and seeks authority to execute CreateTO's MSA and carry out its terms.
To meet the complex and evolving housing needs of its residents, the City is pursuing a more proactive and hands-on approach to housing development. As detailed in EX19.1 - Strengthening the City of Toronto's Housing Development Capacity to Deliver Housing Faster, in December 2024, City Council directed the Deputy City Manager, Development and Growth Services to negotiate and execute an MSA with CreateTO to support these housing needs. A similar MSA will be entered into between the City and Toronto Community Housing Corporation ("TCHC").
In addition, through EX19.1, City Council established a Housing Development Office, reporting to the Deputy City Manager, Development and Growth Services, to focus exclusively on advancing and accelerating the delivery of housing on City-led and City-supported sites. City Council requested CreateTO to continue to bring forward potential housing sites and opportunities to the City for consideration and decision, and to advance work on housing opportunities at the direction of the City.
In May 2025, City Council approved a new policy framework for City-owned land through PH21.4 - Toronto Builds - A Policy Framework to Build More Affordable Rental Homes on Public Land. The Toronto Builds Policy Framework provides consistency among the City's various housing programs (such as Housing Now, ModernTO, and Modular Housing Initiative) by establishing policies in 12 key areas to guide development through a harmonized framework. This framework was developed to provide flexibility to respond to challenging market conditions which vary across Toronto and impact the financial viability of new affordable housing developments
Combined, these directions, initiatives and policy developments are designed to streamline processes, align resources, and facilitate the timely development of housing on land owned by the City and its agencies and corporations.
As the City's strategic real estate agency, CreateTO will play a fundamental role in this new approach. A key component of this approach involves documenting the roles, responsibilities, deliverables, and City approvals on projects assigned to CreateTO and TCHC by entering into MSAs for housing development and delivery between the City and each of CreateTO and TCHC.
