City Council Decision

City Council on June 25 and 26, 2025, adopted the following:

 

1. City Council adopt the confidential instruction to staff in Confidential Attachment 1 to the report (May 28, 2025) from the City Solicitor, the Fire Chief and General Manager, Toronto Fire Services and the Chief Procurement Officer.

 

2. City Council authorize the public release of the confidential instruction to staff in Confidential Attachment 1 to the report (May 28, 2025) from the City Solicitor, the Fire Chief and General Manager, Toronto Fire Services and the Chief Procurement Officer.

 

3. City Council direct that the balance of Confidential Attachment 1 to the report (May 28, 2025) from the City Solicitor, the Fire Chief and General Manager, Toronto Fire Services and the Chief Procurement Officer remain confidential as it pertains to litigation or potential litigation and contains advice or communications that are subject to solicitor-client privilege.

 

The confidential instructions to staff in Confidential Attachment 1 to the report (May 28, 2025) from the City Solicitor, the Fire Chief and General Manager, Toronto Fire Services and the Chief Procurement Officer were adopted by City Council and are now public as follows:

 

1. City Council authorize the Fire Chief and General Manager, Toronto Fire Services, in consultation with the Chief Procurement Officer and the City Solicitor, to enter into an amending agreement between Innotex and the City for the supply and delivery of Structural Bunker Suits substantially in accordance with the terms set out in this report, including: changing the term of the agreement from a five year contract with five separate options to renew the contract for separate one year periods, to a 10 year contract with a further one optional renewal term of one year exercisable at the City's discretion; adjusting the specifications and unit prices for the Bunker Suits and associated services as set out herein; and increasing the maximum total value of the Bunker Suit Contract by $4,731,281 net of all taxes, to increase the Bunker Suit Contract's total current value from $13,313,290 net of all taxes to $18,044,571 net of all taxes.

 

2. City Council authorize an in-year budgeted cash flow advancement of $951,247 net of Harmonized Sales Tax recoveries, from the 2026 budget to 2025, to enable the supply and delivery of Structural Bunker Suits in accordance with the Bunker Suit Contract with Innotex Inc. as amended in Part 1 above.

 

3. City Council authorize the City Solicitor, in consultation with the Fire Chief and General Manager, Toronto Fire Services, to take steps necessary to give effect to Parts 1 and 2 above, including executing settlement documentation satisfactory to the City Solicitor and the Fire Chief and General Manager, Toronto Fire Services.
