The Board of Governors of Exhibition Place:

1.  Concured with the action taken by the Chair of the Board and the Chief Executive Officer in approving the sole source award for the replacement cost provided by Toromont Power Systems in the amount of $311,040, excluding HST, for the upgrade of the Cogeneration Plant's inoperable and obsolete control system.

This report recommends approving a sole source award to replace the inoperable and obsolete control system components of the existing Cogeneration (Cogen) Plant located on the roof of the Enercare Centre. The generator and associated control system was commissioned and placed into service on June 26, 2007.

The existing Cogeneration Plant is approximately 16 years old, and the majority of the components are at the end of their service life. Replacement of obsolete control system will allow the Cogeneration Plant to resume operating and providing cost savings to Exhibition Place.

The Cogeneration Plant is manufactured by Toromont Power Systems ("Toromont") who is the sole provider of replacement components and parts.

Staff are seeking Board's approval to proceed with an award to Toromont Power Systems as a sole source contract. The Chair of the Board in consultation with the Chief Executive Officer of Exhibition Place approved this contract award on February 29, 2024, pursuant to the authority under the Board Financial By-law 2-18, Article X and seek concurrence of the Board.
