EP12.1 - Long Term Licence Agreement with an Exhibition Client

Board Decision
The Board of Governors of Exhibition Place:
1. Deleted Item 5 in the Proposed Terms and Conditions in Confidential Attachment 1 to the report (September 16, 2024) from the Chief Executive Officer, Exhibition Place.
2. Subject to obtaining the necessary City of Toronto authorization, approved a licence agreement (the "Licence Agreement") between the City of Toronto, (the "City"), as licensor, Exhibition Client, as licensee, and the Board, substantially on the terms and conditions set out in Confidential Attachment 1, as amended above, and such other and amended terms and conditions deemed appropriate by the City of Toronto's approving authority, the Chief Executive Officer of Exhibition Place (the "CEO"), and in a form satisfactory to the City Solicitor.
3. Authorized the Chief Executive Officer to request the necessary City authorities to approve and enter into the Licence Agreement.
4. Approved Recommendations 1, 2 and 3 to the report (September 16, 2024) from the Chief Executive Officer, Exhibition Place on the basis that the use outlined in the Licence Agreement is only approved for 2024 and a financial plan will be provided by the Exhibition Client.
5. Requested the Exhibition Client to seek financial support from the Province and present a plan to advocate for increased funding over the next six months and update the Chief Executive Office of Exhibition Place on progress in the second quarter of 2025.
6. Directed the Chief Executive Officer, Exhibition Place to conduct a review of criteria for the operations at Exhibition Place described in Confidential Attachment 1 to the report (September 16, 2024) from the Chief Executive Officer, Exhibition Place, including equity, public health, service level impacts, stakeholder engagement and report back to the Board in the first quarter of 2025.
7. Directed that the confidential information contained in Confidential Attachment 1 to the report (September 16, 2024) from the Chief Executive Officer, Exhibition Place, remain confidential as it is about a plan to be applied to negotiations carried on or to be carried on by or on behalf of the Board and contains financial information supplied in confidence to the Board, which, if disclosed, could reasonably be expected to significantly prejudice the competitive position, or interfere significantly with the contractual or other negotiations of a person, group of persons, or organization.

That the Board of Governors of Exhibition Place:
1. Delete item 5 in the Proposed Terms and Conditions in Confidential Attachment 1.
The Board of Governors of Exhibition Place recommends that:
1. The Board approve Recommendations 1, 2 and 3 on the basis that the use outlined in the Licence Agreement is only approved for 2024 and a financial plan will be provided by the Exhibition Client.
2. The Board request the Exhibition Client to seek financial support from the Province and present a plan to advocate for increased funding over the next six months and update the Chief Executive Office of Exhibition Place on progress in the second quarter of 2025.
3. The Board direct the Chief Executive Officer, Exhibition Place to conduct a review of criteria for the operations at Exhibition Place described in Confidential Attachment 1, including equity, public health, service level impacts, stakeholder engagement and report back to the Board in the first quarter of 2025.
