Board Decision
The Board of Directors of TO Live:
1. Authorized the President and Chief Executive Officer of TO Live to negotiate and enter into the three co-commissioning agreements detailed in Confidential Attachment 1 to the revised report (November 20, 2024) from the President and Chief Executive Officer, TO Live prior to the normal budgeting approval cycle.
2. Directed that Confidential Attachment 1 and 2 to the revised report (November 20, 2024) from the President and Chief Executive Officer, TO Live remain confidential in their entirety because they contain financial information supplied in confidence to the Board of Directors of TO Live, which, if disclosed, could reasonably be expected to significantly prejudice the competitive position or significantly interfere with the contractual or other negotiations of a person, group of persons, or organization.

The Board of Directors of TO Live recessed its public meeting to meet in closed session to consider the item as it pertains to financial information supplied in confidence to the Board of Directors to TO Live, which if disclosed, could reasonably be expected to significantly prejudice the competitive position or significantly interfere with the contractual or other negotiations of a person, group of persons or organization.

Motions
That Recommendation 1 be amended so that it now reads as follows:
1. Authorize the President and Chief Executive Officer of TOLive to negotiate and approve entering into the three co-commissioning agreements detailed in Confidential Attachment 1 prior to the normal budgeting approval cycle ,the details of which are noted in Confidential Attachment 1.
