The TO Live - Finance and Audit Committee recommends that the Board of Directors of TO Live:

1. Authorize the President and Chief Executive Officer, TO Live to execute a contract with the successful proponent of TO Live's Request For Proposal for the Sponsorship Naming Rights Consultant, which is above Management's payment threshold as per TO Live Policy 303, as set out in Confidential Attachment 1 to the report (April 28, 2023) from the President and Chief Executive Officer, TO Live.

2.  Direct that the name of the successful proponent be made public after execution of the contract, at the discretion of the President and Chief Executive Officer, and that the remainder of Confidential Attachment 1 to the report (April 28, 2023) from the President and Chief Executive Officer, TO Live remain confidential in its entirety because it contains financial information supplied in confidence to the Board of Directors of TO Live which, if disclosed, could reasonably be expected to significantly prejudice the competitive position or interfere significantly with the contractual or other negotiations of a person, group of persons, or organization.

The TO Live - Finance and Audit Committee recessed its public session to meet in closed session to consider the item as it pertains to financial information supplied in confidence to the Board of Directors of TO Live, which, if disclosed, could reasonably be expected to prejudice significantly the competitive position or interfere significantly with the contractual or other negotiations of a person, group of persons, or organization.

The purpose of this report is to seek Board approval to execute a contract with the successful proponent of TO Live's Request For Proposal for the Sponsorship Naming Rights Consultant which is above Management's payment threshold as per TO Live Policy 303.
