Board Decision

The Board of Management of the Toronto Zoo:

 

1. Requested City Council approve and enter into an agreement with the Rouge Valley Foundation that vests ownership of Pearse House to the Rouge Valley Foundation for nominal consideration and releases the City of Toronto and the Board of Management of the Toronto Zoo from all future associated obligations and liabilities, in a form satisfactory to the City Manager and City Solicitor, and to provide the Board of Management of the Toronto Zoo with a fully executed copy of the agreement.

 

2. Terminated the lease over Part of Lot 4, Concession 3, Scarborough in a form satisfactory to the City Solicitor promptly upon receipt of the fully executed agreement authorized by Part 1, above.

 

3. Granted the Foundation a licence over the land legally described as Part of Lot 4, Concession 4, being parts 4-7 on 66R-29910 in order to permit the Foundation access to the Pearse House from Meadowvale Avenue, on such terms and conditions as are acceptable to the Toronto Zoo’s Chief Executive Officer.

 

4. Directed the Chief Executive Officer to execute the Tripartite Agreement following the termination of the lease over Part of Lot 4, Concession 3, Scarborough.

 

5. Forwarded the report (May 3, 2020) from the Senior Director, Corporate Projects and Human Resources, Toronto Zoo and the decision of the Board of Management of the Toronto Zoo to the City Manager for onward reporting.

Summary

This report requests that City Council convey ownership of James Pearse House to the Rouge Valley Foundation, a non-for-profit organization, at nominal consideration, plus grant them permission over Zoo Road to access to the house.  City Council owns the Zoo’s assets and must consent to the sale.  Once this transfer has occurred, the Tripartite Agreement can be executed, thereby completing the lengthy Tripartite Agreement process.

Motions

That:

 

1. Recommendation 1 be deleted and replaced with the following:

 

"1. The Board of Management of the Toronto Zoo request City Council approve and enter into an agreement with the Rouge Valley Foundation that vests ownership of Pearse House to the Rouge Valley Foundation for nominal consideration and releases the City of Toronto and the Board of Management of the Toronto Zoo from all future associated obligations and liabilities, in a form satisfactory to the City Manager and City Solicitor, and to provide the Board of Management of the Toronto Zoo with a fully executed copy of the agreement;"

 

2. The Board of Management of the Toronto Zoo terminate the lease over Part of Lot 4, Concession 3, Scarborough in a form satisfactory to the City Solicitor promptly upon receipt of the fully executed agreement authorized by Recommendation 1.

 

3. The Board of Management of the Toronto Zoo direct the Chief Executive Officer to execute the Tripartite Agreement following the termination of the lease over Part of Lot 4, Concession 3, Scarborough.
