Board Decision
The Board of Directors of TO Live:
1. Increased the membership of the TO Live St. Lawrence Centre Redevelopment Committee from up to 6 members to 11 members, by adding five (5) individuals who may be non-members of the Board.
2. Appointed the three (3) individuals identified in Confidential Attachment 1 to the letter (October 9, 2020) from the Chair, St. Lawrence Centre Redevelopment Committee - TO Live Board of Directors to the TO Live St. Lawrence Centre Redevelopment Committee.
3. Directed that the names of the individuals, and their biographies, be made public once appointed by the Board.
4. Directed the President and Chief Executive Officer, TO Live to bring forward a report to fill the remaining vacancies, in early 2021.

The biographies of the appointed individuals are contained in Confidential Attachment 1 to the letter (October 9, 2020) from the Chair, St. Lawrence Centre Redevelopment Committee which is now public and can be accessed under Background Information.

The Board of Directors of TO Live recessed its public session to meet in closed session to consider the item as it contains personal matters about identifiable individuals.
Origin
Summary
The St. Lawrence Centre Redevelopment Committee is interested in adding some additional members. The purpose of expanding the composition of the committee is to add additional members who would better represent the diversity of the City, as well as having a skill set in either architecture, theatre, redevelopment or real estate which would enhance the Committee’s deliberations in a much richer and more productive way.
The current committee composition is 6 members to be drawn from the Board of Directors and the current membership is: Councillor Gary Crawford, Councillor John Filion, Robert J. Foster, Steven Levitan, myself as Chair, and there is one vacancy. (The current terms of reference and composition are attached as Appendix A).
I am proposing that the Committee composition be increased by 5 members who are non-members of the Board, for a total of 11 members and have attached a list of names of 3 individuals with biographies included in Confidential Attachment 1 for consideration for appointment to the Committee. I would like to extend appreciation to committee members and City Manager's office staff for their help in suggesting some excellent community names. I am also proposing that the remaining vacancies be appointed as early as possible in 2021, after the Board member vacancies have been filled.
If the proposed changes are approved, quorum will be 6 and the Committee will have 8 of 11 members to carry on with meetings until the vacancies are filled.

That the Board adopt the recommendations with the following revised Recommendation 1:
1. Increase the membership of the TO Live St. Lawrence Centre Redevelopment Committee from up to 6 members to 11 members, by adding five (5) individuals who may be non-members of the Board.
