Board Decision
The Board of Directors of TO Live:
1. Adopted the recommendations from the City Manager contained in the confidential attachment to the letter (September 21, 2020) from the Chair.
2. Requested the City Manager and the City Clerk to accelerate the appointment of new members to fill the vacancies on the Board of Directors of TO Live.
3. Directed that Confidential Attachments 1 and 2 to the letter from the Chair (July 8, 2020) remain confidential in their entirety as they pertain to negotiations carried on or to be carried on by or on behalf of the Board of Directors of TO Live.
4. Directed the information contained in the Confidential Attachment to the letter from the Chair (September 21, 2020) remain confidential at this time, as it relates to a position, plan, procedure, criteria, or instruction to be applied to negotiations, and that the information be made public at the discretion of the Chair of the Board in consultation with the City Solicitor, following the conclusion of any related negotiations and litigation.

The Board of Directors of TO Live recessed its public session to meet in closed session to consider the item as it relates to negotiations carried on or to be carried on by or on behalf of the Board of Directors of TO Live, personal information about identifiable individuals and a position, plan, procedure, criteria, or instruction to be applied to negotiations.
September 25, 2020 - The title of supplementary item CT15.1a was revised to read "Follow Up on Agenda Item CT12.1 - Advice from the City Manager".

Motions
That the Board of Directors of TO Live direct the Board Secretary to update the title of supplementary item CT15.1a to read as follows:
"Follow Up on Agenda Item CT12.1 - Advice from the City Manager".
12:39 p.m. - That the Board of Directors of TO Live recess its public session to meet in closed session to consider the Item as it pertains to negotiations carried on or to be carried on by or on behalf of the Board of Directors of TO Live; personal information about identifiable individuals; and a position, plan, procedure, criteria, or instruction to be applied to negotiations.
That:
1. The Board request the City Manager and the City Clerk to accelerate the appointment of new members to fill the vacancies on the Board of Directors of TO Live.
That the Board of TO Live adopt the recommendations from the City Manager contained in the confidential attachment to the letter (September 21, 2020) from the Chair.

Summary
At its special meeting on July 10, 2020, the Board of Directors of TO Live deferred
consideration of Item CT12.1 to a Special Meeting of the Board to be held following
consultation with the City Manager on, among other topics, options for a scope of
work and timing of engagement for Board facilitators.
As part of the consultation, the City Manager has provided the materials for the Board's
review and consideration, which are included as a confidential attachment to this letter.
