Board Decision
The Board of Directors of TO Live:
1. Amended Attachment 1 to the report (January 28, 2020) from the Chair, Human Resources, Compensation and Labour Relations Committee on Executive Compensation Policy as follows:
a. added Councillor John Filion to the Stakeholder List on page 1;
b. added the following companies of large organizational size to the Potential Peer Organizations:
- Live Nation
- AEG Presents
- Mirvish Productions
- CBC
- TVOntario
- Canada Council for the Arts
- Ontario Arts Council; and
c. removed the following companies of smaller organizational size from the Potential Peer Organizations:
- Canadian Stage
- Luminato Festival
- Soulpepper Theatre Company
- Hart House Theatre
- Arts Club Theatre Company.
2. Approved the stakeholder list on page 1 in Attachment 1 to the report (January 28, 2020) from the Chair, Human Resources, Compensation and Labour Relations Committee, as amended by Part 1.a. above.
3. Approved the list of potential peer organizations on page 2 in Attachment 1 to the report (January 28, 2020) from the Chair, Human Resources, Compensation and Labour Relations Committee, as amended by Parts 1.b. and 1.c. above.
4. Approved the stakeholder interview guide in Attachment 2 to the report (January 28, 2020) from the Chair, Human Resources, Compensation and Labour Relations Committee.

The purpose of this report is to provide an update on the development of the executive compensation policy pursuant to directions from City Council and to seek Board approval to move forward with next steps in the process.

Motions
That Attachment 1 to the report (January 28, 2020) from the Chair, Human Resources, Compensation and Labour Relations Committee on Executive Compensation Policy be amended as follows:
1. Add Councillor John Filion to the Stakeholder List on page 1
2. Add the following companies with large organizational size to the Potential Peer Organizations:
