The Board of Directors of the Toronto Parking Authority:

1.  Authorized Toronto Parking Authority staff to make a technical amendment in respect of a License Agreement between the Toronto Parking Authority (as Licensor) to indicate the new corporate entity 2676417 Ontario Inc. operating as KA Car Care (as Licensee) and to add the City of Toronto as a party to the License for City-owned Municipal Carpark 58, located at 9 Bedford Road, for the purpose of operating a car hand-detailing operation on the P4 parking level, in accordance with the terms and conditions previously approved by the Board of Directors of the Toronto Parking Authority at its December 19, 2018 meeting (Item PA1.3, License Agreement - 1413652 Ontario Inc. o/a KA Car Care - Municipal Carpark 58 (City-owned 9 Bedford Road, P4 Parking Level), and on such other or amended terms and conditions as may be acceptable to the Acting President, Toronto Parking Authority, and in a form satisfactory to the City Solicitor.

The Toronto Parking Authority (TPA or Licensor) Board of Directors, at its meeting of December 19, 2018, authorized staff to enter into a new license agreement (the License) with 1413652 Ontario Inc. operating as KA Car Care (the Licensee or KA Car Care) at Municipal Carpark 58, located at 9 Bedford Road (the Property or CP58), which is managed by TPA, generally in accordance with the terms and conditions as set out in Item PA1.3, as approved. This report seeks the acknowledgement and approval of the TPA Board of Directors to a change in the ownership entity of the Licensee to 2676417 Ontario Inc.

In addition, the City of Toronto (the City) is the registered owner of the Property and, as such, will be a party to the License. In accordance with City of Toronto By-law 1409-2017, the proposed transaction has been successfully directed through the City Real Estate Approval Process, receiving City approval under DAF 2019-008. City Legal will continue to assist with the requisite document preparation.
